The terms under which Sneyash Private Limited provides access to the SNEYASH trust, risk and compliance platform.
These Terms of Service ("Terms") form a binding agreement between you and Sneyash Private Limited ("SNEYASH", "we", "us" or "our") and govern your access to and use of the SNEYASH platform, websites, APIs and related services (together, the "Services"). By accessing or using the Services, or by signing an order form or agreement that references these Terms, you agree to be bound by them. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation.
SNEYASH provides a platform for onboarding, KYC/KYB verification, document management, contract management, workflow and approvals, compliance management, continuous monitoring, fraud detection and credit intelligence for business relationships. Verification, monitoring, scoring and AI features rely on the accuracy, availability and timeliness of underlying data sources and submitted information, and are provided to assist - not replace - the Customer's own judgement and decision-making.

As between the parties, the Customer owns its Customer data. The Customer grants SNEYASH a limited licence to host, process and use Customer data solely to provide, secure and improve the Services and as instructed by the Customer. Our handling of personal data is described in our Privacy Policy. Where SNEYASH processes personal data on the Customer's behalf, it does so as a processor under the applicable data processing terms.
Some features use artificial intelligence to extract document data, analyse contracts and detect potential fraud or anomalies. These outputs are probabilistic decision-support tools and may contain errors. You are responsible for reviewing AI outputs and for any decisions you make based on them. SNEYASH does not warrant that AI outputs are complete, accurate or fit for a particular purpose.
Verification and monitoring results are derived from official registries, bureaus and third-party data sources. SNEYASH is not responsible for the accuracy, completeness or availability of those sources, and results may change as underlying records change.
SNEYASH and its licensors retain all rights, title and interest in the Services, including all software, models, designs and documentation. No rights are granted except as expressly set out in these Terms. We may use aggregated and de-identified data that does not identify the Customer or any individual to operate and improve the Services.
We work to keep the Services available and reliable and provide support according to your plan. Any specific service-level commitments apply only if expressly stated in an order form or service-level agreement.
Each party will protect the other's confidential information with reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisers bound by confidentiality obligations, or as required by law.
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, SNEYASH disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Verification, risk, fraud and credit outputs are decision-support tools and are not guarantees of an entity's legitimacy, solvency or future conduct.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Each party's aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by the Customer for the Services in the twelve months preceding the event giving rise to the claim.
The Customer will defend and indemnify SNEYASH against claims arising from the Customer's data, its use of the Services in breach of these Terms, or its violation of applicable law or third-party rights.
These Terms apply for the duration of your subscription. Either party may terminate for material breach not cured within a reasonable notice period. On termination, your right to use the Services ends, and Customer data may be exported or deleted in accordance with the applicable agreement and our retention practices.
We may update the Services and these Terms from time to time. Where changes are material, we will provide reasonable notice through the Services or other appropriate means. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of India, and the courts at Thane, Maharashtra will have jurisdiction, without prejudice to any mandatory rights you may have under applicable law.
